Transaction date versus filed date
The transaction date is when the disclosed activity reportedly occurred. The filed date is when the disclosure became available. The gap can be substantial, so a filing is not a real-time trading signal.
What the preview shows
The public preview is limited to approved identity, ticker, action, transaction-date, and filed-date fields. It shows at most two real records from a stable snapshot and never embeds later records beneath a visual blur.
Important limitations
Public disclosures can be amended and may report ranges or ownership connected to a spouse or dependent.
- A disclosure is historical and should not be treated as a recommendation.
- Names and instruments are normalized, but users should verify the original public filing.
- Missing data does not establish that no transaction occurred.
